Reasons For Obtaining A Corporate Kit And Seal

By Juliette Cruz

The economy is greatly powered by a significant number of small and growing businesses. As individuals find themselves in the extraordinary position of starting their own company, the need for formalizing the company becomes very important. There are many ways to store business records, but having a corporate kit and seal helps by providing everything necessary to the process.

The binder that is used to store the records often includes a gold embossing of the company name. One of the more important features is the included tabs for keeping specific records in order. Different state and federal laws require specific records to be kept for a number of years. Having them in one place and in good order ensures that you can quickly prove legal compliance.

Most states require specific documents and records be kept in good form. The laws usually require that you file at least the articles of incorporation. Others might require bylaws and even ownership records. These are usually filed with the state and returned with the official state seal. Some states will issue a document that includes the company registry number. These all must be kept as long as your business is active.

Ownership records must be updated regularly. As companies grow, they often take on partners at times when there is a need for additional investment. The kits include record keeping forms that help keep track of who has an ownership percentage in the company. This information is extremely important and must be stored with other business records.

Another set of records to keep are the company minutes. Most states require at least one company meeting per year. This is to prove the company is continuing to operate. Even if there is only one member of the corporation, the minutes of the meeting must be written and stored with other business paperwork.

The corporate seal is used to authenticate official paperwork. Whether it is a contract, government filing, or other form, having the seal on the paperwork provides the look and feel that larger companies provide. These are created with your company name around the official seal. They can also be used to mark the official copies of stock certificates and company meeting minutes.

Issuing stock raises additional legal requirements. While it is possible to simply print official looking stock certificates, the forms included in most of the packs are generally much nicer and have a place for you to emboss the company seal. These give the purchaser and official record that they have ownership in the company.

It is absolutely necessary to keep all company records in a single place. The formation and continuation of the business can only happen with the proper paperwork created and kept up to date. As you run your business, you will find an extraordinary amount of paperwork is needed. This may become overwhelming, which gives more deference to having a corporate kit and seal in order to keep the most important documents safely stored in one place.
